1. Agreement to Terms

By accessing or using PaperKlip ("the Service"), you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you and PaperKlip, governed by the laws of Malaysia, including the Electronic Commerce Act 2006, Consumer Protection Act 1999, and Contracts Act 1950.

If you do not agree to these terms, you must not use our Service.

2. Description of Service

PaperKlip is a cloud-based business management platform that provides:

  • Quotation, invoice, and business document generation
  • Purchase order and procurement management
  • Automated payment reminder system via email and WhatsApp
  • Online payment collection through integrated payment gateways
  • Financial reporting and bank reconciliation
  • Client and supplier management
  • Late payment interest calculation under the Late Payment in Commercial Transactions Act 2020

3. Account Registration

To use the Service, you must:

  • Be at least 18 years old or the legal age of majority in your jurisdiction
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Be a legally registered business entity in Malaysia (for business accounts)

You are responsible for all activities that occur under your account.

4. Subscription and Payment

4.1 Free Trial

New users receive a 7-day free trial (14 days with referral code). No credit card is required for the trial. At the end of the trial, you must subscribe to continue using the Service.

4.2 Subscription Plans

We offer the following subscription plans:

  • Basic: RM 149/month - For small businesses with basic invoicing needs
  • Full Access: RM 279/month - Unlimited features including WhatsApp reminders and procurement

4.3 Payment Terms

Subscriptions are billed monthly in advance. All prices are in Malaysian Ringgit (MYR) and are inclusive of any applicable taxes. Payments are processed through Billplz or Stripe.

4.4 Refund Policy

In accordance with the Consumer Protection Act 1999, you may request a refund within 14 days of your first subscription payment if you are not satisfied with the Service. Refunds for subsequent billing periods are not available. To request a refund, contact support@paperklip.my.

5. User Obligations

You agree to:

  • Use the Service only for lawful business purposes
  • Comply with all applicable Malaysian laws and regulations
  • Ensure the accuracy of information in your invoices and business documents
  • Not use the Service to send spam or unsolicited communications
  • Not attempt to gain unauthorized access to the Service or other users' accounts
  • Not reverse engineer, decompile, or disassemble any part of the Service
  • Maintain proper records for SST/tax compliance purposes

6. Your Data and Content

You retain ownership of all data and content you upload to the Service. By using the Service, you grant us a limited license to store, process, and transmit your data solely for the purpose of providing the Service.

You are responsible for:

  • Backing up your important data
  • Ensuring you have the right to use any content you upload
  • The accuracy and legality of your invoices and business documents

7. Intellectual Property

The Service, including its design, features, and content (excluding user data), is owned by PaperKlip and protected by Malaysian intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

8. Third-Party Services

The Service integrates with third-party services including:

  • Billplz: Payment gateway for Malaysian businesses
  • Stripe: International payment processing
  • WhatsApp Business API: Message delivery

Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability or performance of third-party services.

9. Late Payment Interest Calculation

The Service includes functionality to calculate late payment interest in accordance with the Late Payment in Commercial Transactions Act 2020. The statutory rate is currently 8% per annum. You are responsible for ensuring that any late payment charges applied comply with your contractual agreements with your clients.

10. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may temporarily suspend the Service for:

  • Scheduled maintenance (with advance notice where possible)
  • Emergency repairs or security updates
  • Circumstances beyond our reasonable control

11. Limitation of Liability

To the maximum extent permitted by Malaysian law:

  • The Service is provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim
  • We are not responsible for any losses resulting from your clients' failure to pay

Nothing in these terms excludes liability that cannot be excluded under Malaysian law.

12. Indemnification

You agree to indemnify and hold harmless PaperKlip from any claims, damages, or expenses arising from:

  • Your breach of these Terms
  • Your violation of any law or third-party rights
  • Disputes between you and your clients or suppliers
  • Inaccurate or misleading information in your invoices or documents

13. Termination

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • Your access continues until the end of your current billing period
  • You may export your data within 30 days of cancellation
  • Your data will be deleted within 90 days, except where legal retention is required

We may terminate or suspend your account immediately if you breach these Terms or engage in fraudulent activity.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before initiating legal proceedings, you agree to attempt to resolve any dispute through good faith negotiation by contacting us at legal@paperklip.my.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable under Malaysian law, the remaining provisions shall continue in full force and effect.
